1. Scope and acceptance of the General Terms and Conditions<\/h3>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

1.1.<\/strong> These General Terms and Conditions (hereinafter referred to as “GTC”) govern the legal relationship between Simply-Blue.co.uk (a brand of AM Consulting & Management GmbH, hereinafter referred to as “Simply-Blue”) and its customers (hereinafter referred to as “Clients”).<\/p>

1.2.<\/strong> By placing an order (verbally, by email, online form or by purchasing services), the client accepts these terms and conditions in full and without modification. These provisions are binding unless otherwise explicitly agreed in writing. Conflicting or deviating terms and conditions of the client shall not be recognised unless Simply-Blue has expressly agreed to their validity in writing. <\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

2. Our offer: Free website preview and satisfaction guarantee<\/h3>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

2.1. Free website preview<\/strong>: Simply-Blue will create a professional website preview for the client based on the information provided. This preview is completely free of charge and non-binding. <\/p>

2.2. Satisfaction guarantee<\/strong>: The client is only obliged to pay once they are completely satisfied with the website preview and have officially accepted it. Acceptance is confirmed in writing (e.g. by email) or by requesting that the website go live. <\/p>

2.3. Project acceptance and archiving<\/strong>: If the client does not accept the project within 14 days of notification of completion of the preview or does not comment on it, Simply-Blue reserves the right to archive the project. Subsequent reactivation may involve additional effort and costs. <\/p>

2.4. Non-acceptance<\/strong>: If the client rejects the website preview without Simply-Blue having failed to provide the agreed services, the client shall not incur any costs. In this case, Simply-Blue retains all rights to the preview created and may use or exploit it elsewhere. <\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

3. Scope of services, packages and hosting<\/h3>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

3.1. Website packages<\/strong>: The scope of services depends on the package selected by the client (Micro Site, One Page Complete, Multi-page Professional, Online Shop Complete), as described on the Simply-Blue website.<\/p>

3.2. Hosting & Domain (Optional)<\/strong><\/strong>: For the Micro Site, One Page Complete, Multi-Page Professional and Online Shop Complete packages, hosting and your own .ch domain can be booked optionally for CHF 200 per year. This amount will be added to the package price at the time of purchase. The minimum term for hosting and domain is 12 months and is automatically extended by 12 months unless cancelled in writing at least 60 days before the end of the contract period. Payment is made annually in advance.<\/p>

3.3. Property rights and right of use<\/strong>: Upon full payment of the agreed price, the client acquires the right to use the final, approved website without any restrictions in terms of time or location. The source code, the underlying systems and the software licences used (e.g. Elementor Pro, WooCommerce, etc.) remain the property of Simply-Blue or AM Consulting & Management GmbH. No changes to the code or design may be made by third parties without the written consent of Simply-Blue. Reproduction or other use of the electronic work (e.g. on multiple servers) is not permitted. <\/p>

3.4. Modifications by third parties<\/strong>: Simply-Blue accepts no liability for modifications made independently to websites or reprogramming of codes by the client or third parties. The repair or reset of errors will be charged in full. <\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

4. Prices and terms of payment<\/h3>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

4.1.<\/strong> All prices stated on the Simply-Blue website include statutory value added tax (VAT).<\/p>

4.2. Payment methods<\/strong>: Payment is made once (one-time) after acceptance of the website preview and before going live. Accepted payment methods are credit card (via Stripe), Bexio or other services offered on the website. <\/p>

4.3. Due date<\/strong>: Invoices are due for payment within 10 days net.<\/p>

4.4. Late payment<\/strong>: In the event of late payment, Simply-Blue may take the website offline or block access until the amount owed, including default interest of 5% from the expiry of the payment deadline, has been paid. <\/p>

4.5. Price adjustments<\/strong>: Simply-Blue reserves the right to adjust the published prices and the offer at any time. For orders that have already been placed and confirmed, the prices agreed upon at the time of conclusion of the contract shall apply. <\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

5. Client's obligation to cooperate<\/h3>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

5.1.<\/strong> The client is obliged to cooperate and must provide Simply-Blue with all data relevant to the project (information, logos, documents, etc.) in a timely manner and in the agreed quality. In the event of non-delivery, Simply-Blue reserves the right to use placeholders, texts, information, etc. that it deems appropriate. <\/p>

5.2. Delays<\/strong>: The client is aware that delays and additional expenses resulting from failure to fulfil or late fulfilment of obligations to cooperate shall be borne by the client.<\/p>

5.3. Project pause and invoicing<\/strong>: If content is not provided on time, Simply-Blue may pause the project for a maximum of 14 days. The project will then be re-entered into the planning schedule, which may result in additional project coordination. If the client fails to provide the deliverables even after this period, Simply-Blue reserves the right to complete the project and invoice the full amount. The customer cannot assert any claims retrospectively. <\/p>

5.4. Content review<\/strong>: The client shall carry out work checks. Printouts, test displays, etc. shall be carefully checked for correctness by the client; a “ready for print” or “ready for screen” approval is a binding declaration of the correctness of a piece of work. Simply-Blue shall not be liable for errors overlooked by the client. <\/p>

5.5. Legality of content<\/strong>: The client is solely responsible for the legality and accuracy of the content published on the website. The client guarantees that its products, services, content or content accessible via links to other websites do not violate any existing Swiss laws, in particular that they are not of a violent, racist or pornographic nature. They shall comply with the relevant data protection regulations and ensure that third-party content is checked for legality before it is published. The client shall indemnify Simply-Blue against all claims by third parties for breach of the aforementioned obligations. <\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

6. Liability and warranty<\/h3>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

6.1.<\/strong> The use of the services provided by Simply-Blue is at your own risk. Simply-Blue accepts no liability for direct or indirect damage due to technical problems, server failure, data loss, transmission errors, data insecurity or other reasons. Simply-Blue is not liable for lost profits and consequential damages.<\/p>

6.2. Defects<\/strong>: Justified complaints regarding defects must be made in writing within 30 days (warranty period) of the website going live. Simply-Blue will then offer free repair or replacement at its own discretion. No liability exceeding the value of the goods or services can be claimed for direct or indirect damage resulting from defects (claims for damages).<\/p>

6.3. Third-party services<\/b>: Simply-Blue accepts no liability and provides no guarantee for the functionality of third-party products and services (e.g. open source products, extensions, external interfaces).<\/p>

6.4. Force majeure<\/strong>: Simply-Blue shall not be liable if damage is attributable to causes beyond its control (in particular force majeure, disruptions for which the Internet service provider is responsible, hacker attacks, etc.) or to other reasons for which the client is responsible.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

7. Special provisions for hosting & email<\/h3>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

7.1. Misuse<\/strong>: Sending spam, hosting illegal content or activities that jeopardise server stability will result in the immediate suspension of the account or website without prior notice.<\/p>\n

7.2. Data security<\/b>: The client is responsible for backing up their own data. Simply-Blue recommends regular backups.<\/p>\n

7.3. Password and access data<\/strong>: Passwords and access data for the homepage must be kept safe and are shared at your own risk. Improper changes in the CMS may result in data loss. Simply-Blue may charge for any restoration costs incurred.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

8. Data protection<\/h3>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

8.1.<\/strong> Simply-Blue undertakes to comply with Swiss data protection legislation (DSG) and the European General Data Protection Regulation (GDPR), where applicable.<\/p>

8.2.<\/strong> Details regarding the collection, processing and use of personal data are set out in the separate privacy policy of Simply-Blue.co.uk, which forms an integral part of these terms and conditions.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

9. Final provisions<\/h3>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

9.1.<\/strong> Simply-Blue reserves the right to amend these General Terms and Conditions at any time. Amendments shall be communicated to the client in an appropriate manner and shall be deemed to have been approved if the client does not object in writing within 30 days. <\/p>

9.2. Applicable law and place of jurisdiction<\/strong>: Swiss law applies exclusively. The place of jurisdiction is the registered office of AM Consulting & Management GmbH. <\/p>

9.3. Severability clause<\/strong>: Should individual provisions of these General Terms and Conditions be or become invalid in whole or in part, this shall not affect the validity of the remaining provisions. The invalid provision shall be replaced by a provision that comes closest to the economic purpose of the invalid provision. <\/p>

9.4. Subsidiary application of the General Terms and Conditions of AM Consulting & Management GmbH<\/strong>: For all matters not expressly regulated in these General Terms and Conditions, the General Terms and Conditions of AM Consulting & Management GmbH in their currently valid version shall apply subsidiarily.
